Mailendy Terms of service

1. INTRODUCTION

Welcome to Mailendy.

These Terms of Service (“Terms”) govern your access to and use of Mailendy’s website, services, communication systems, automation solutions, consulting, audits, implementation projects, and ongoing management services.

By engaging Mailendy, accessing our website, or using our services, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use our services.


 

2. ABOUT MAILENDY

Mailendy provides communication infrastructure, customer retention systems, marketing automation, CRM implementation, customer lifecycle management, consulting, audits, and related business communication services.

Mailendy may update, modify, expand, or discontinue services at any time.


 

3. SERVICES

Services may include but are not limited to:

  • Communication Infrastructure Audits

  • Customer Journey Reviews

  • Email Marketing Systems

  • CRM Setup & Management

  • Marketing Automation

  • Customer Segmentation

  • Lead Nurturing Systems

  • Retention Campaigns

  • Reporting & Analytics

  • Consulting Services

  • Communication Operations Management

Specific deliverables, timelines, and pricing will be defined in separate proposals, agreements, statements of work, or project documents.


 

4. CLIENT RESPONSIBILITIES

Clients agree to:

  • Provide accurate information

  • Supply requested assets, credentials, and materials in a timely manner

  • Review deliverables promptly

  • Provide approvals where required

  • Maintain ownership and legal rights to all content supplied

Delays in approvals, access, or information may affect project timelines.

Mailendy shall not be responsible for delays caused by the client.


 

5. FEES & PAYMENT

All fees are outlined in project proposals, invoices, contracts, or service agreements.

Unless otherwise agreed:

  • Payments are due according to invoice terms

  • Monthly retainers are payable in advance

  • Setup fees become non-refundable once work begins

  • Late payments may result in service suspension

Mailendy reserves the right to pause work on accounts with overdue balances.


 

6. THIRD-PARTY PLATFORMS

Many Mailendy services rely on third-party platforms including but not limited to:

  • Brevo

  • Mailchimp

  • Klaviyo

  • HubSpot

  • WordPress

  • Google

  • Meta

  • Hosting Providers

  • CRM Platforms

Clients remain responsible for third-party subscription fees unless otherwise agreed.

Mailendy is not responsible for outages, policy changes, restrictions, service interruptions, or pricing changes imposed by third-party providers.


 

7. CLIENT DATA

Clients retain ownership of their customer data.

Where client data is provided to Mailendy for service delivery:

  • Mailendy acts as a service provider and processor

  • Data will only be used for agreed service purposes

  • Mailendy will take reasonable measures to safeguard data

  • Client data will never be sold by Mailendy

Further details may be governed by separate Data Processing Agreements (DPAs).


 

8. INTELLECTUAL PROPERTY

Unless otherwise agreed:

Clients retain ownership of:

  • logos

  • trademarks

  • customer data

  • brand assets

Mailendy retains ownership of:

  • internal systems

  • methodologies

  • frameworks

  • templates

  • processes

  • proprietary documentation

Upon full payment, clients receive usage rights to deliverables created specifically for their project.


 

9. PERFORMANCE DISCLAIMER

Mailendy provides communication infrastructure, automation systems, consulting, and implementation services.

While Mailendy works to improve communication effectiveness and customer retention, we do not guarantee:

  • sales

  • revenue

  • leads

  • bookings

  • search rankings

  • conversion rates

  • business growth

Results depend on numerous factors outside Mailendy’s control, including market conditions, pricing, competition, customer behavior, and client operations.


 

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Mailendy shall not be liable for:

  • indirect damages

  • loss of profits

  • business interruption

  • loss of data

  • consequential damages

Mailendy’s total liability relating to any claim shall not exceed the amount paid by the client to Mailendy during the preceding three months.


 

11. CONFIDENTIALITY

Both parties agree to maintain confidentiality regarding:

  • proprietary information

  • customer information

  • business strategies

  • financial information

  • operational data

Confidential information shall not be disclosed without authorization except where required by law.


 

12. SERVICE CHANGES

Mailendy reserves the right to:

  • update service offerings

  • modify processes

  • improve systems

  • change methodologies

Such changes will not materially reduce agreed services without notice.


 

13. TERMINATION

Either party may terminate ongoing services by providing thirty (30) days written notice unless otherwise agreed in writing.

Termination does not remove the obligation to pay outstanding invoices or fees for completed work.


 

14. ACCEPTABLE USE

Clients may not use Mailendy services to:

  • send unlawful communications

  • distribute spam

  • engage in fraudulent activities

  • violate applicable laws

  • infringe intellectual property rights

Mailendy reserves the right to suspend services where misuse is suspected.


 

15. GOVERNING PRINCIPLES

Mailendy seeks to operate fairly, transparently, and professionally with all clients.

Both parties agree to work in good faith to resolve disputes and operational issues before pursuing formal legal action.
